1. About these terms
These terms govern your use of Plato, provided by Plato Payments Limited, a company incorporated in New Zealand ("Plato", "we", "us"). By creating a workspace or otherwise using Plato, you agree to them. If you use Plato for an organisation, you agree on its behalf, confirm you are authorised to do so, and "you" means that organisation.
We may update these terms. We will post changes here, and continuing to use Plato after a change takes effect means you accept it.
2. The service
Plato is a hosted service for keeping your organisation's records and workflows in shared databases, with AI agents that work alongside your team.
You must use Plato lawfully, and must not attempt to disrupt it, access data you are not entitled to, or use it to harm others.
You are responsible for activity in your workspace, including actions taken by agents you authorise. Your sign-in keys are held on your devices; we cannot recover them for you, so keep your passkeys safe.
3. Plans and payment
3.1 Free plan
The free plan costs nothing. We may change its limits, or end it, on notice.
3.2 Paid plans
Paid plans are billed in advance, monthly or annually, either directly by us or through our payment processor, Stripe. Your plan renews automatically at the end of each billing period until you cancel.
We may change prices. A new price applies from your next billing period after we post it.
3.3 Prices and tax
Prices include GST where it applies. We will provide a tax invoice for each payment.
3.4 Late payment
If a payment fails or is overdue, we may suspend your access to paid features until it is made.
4. Our ownership
We own Plato and all intellectual property in it. These terms give you the right to use Plato; they do not transfer any ownership to you. If you send us feedback, we may use it without obligation to you.
5. Your data
You own the data you put into Plato. You give us permission to store, process and transmit it only as needed to provide Plato to you and the people you share it with. Our privacy policy explains how we handle personal information.
6. Ending
6.1 Cancelling
You can cancel at any time by contacting support@plato.build. Your plan continues until the end of the current billing period and then does not renew.
6.2 Termination
Either of us may end these terms by written notice if the other materially breaches them. We may also end them for any other reason on 30 days' notice.
6.3 After these terms end
Your right to use Plato ends, except that for 30 days you may still sign in to export your data. If you ended these terms because of our breach, or we ended them other than for your breach, we will refund prepaid fees for the unused part of your billing period.
We delete your data at the end of those 30 days, or sooner if you ask us to or delete your workspace.
6.4 Survival
Our ownership, what happens after these terms end, warranties and liability, governing law, and any fees owed before the end survive the end of these terms.
7. Warranties and liability
To the extent the law allows, we provide Plato as is, without warranties. We are not liable for indirect or consequential loss, or loss of profits, revenue or data, and our total liability to you is limited to the amount you paid us for Plato in the twelve months before the claim.
Nothing in these terms limits rights you have under the Consumer Guarantees Act 1993, the Fair Trading Act 1986, the Australian Consumer Law or other law that cannot be excluded. If you use Plato for the purposes of a business, the Consumer Guarantees Act does not apply, and you agree that is fair and reasonable.
8. Governing law
These terms are governed by the laws of New Zealand, and the courts of New Zealand have non-exclusive jurisdiction.
